Организационная структура компании, в рамках которой управление сосредоточено в руках центрального управленческого аппарата, осуществляющего непосредственный контроль за всей деятельностью компании - производством, финансированием, маркетингом, подбором персонала и т.д. О. Уильямсон, который ввел в обиход этот термин, полагал, что такая форма организации управления несет в себе опасность потери контроля над деятельностью подразделений, производящих и реализующих огромное количество разнообразной продукции на многих рынках. Это может привести к тому, что менеджеры начнут преследовать свои собственные корыстные цели и перестанут стремиться к максимизации прибыли (см. Management-utility maximization).
